Terms of Sale

These Terms of Sale (“Terms”) govern all purchases and transactions between NanoFort Group (“we”, “us”, “our”) and the Customer (“you”). By placing an order or requesting a quote, you acknowledge that you have read, understood, and agreed to these terms.

1. PRICING & CURRENCY

Currency: All prices are quoted in Australian Dollars (AUD).
GST: Prices include GST where applicable unless otherwise stated.
Adjustments: We reserve the right to adjust pricing due to market fluctuations or to correct errors prior to order confirmation.

2. QUOTATION & ORDERING PROCESS

PO Checkout: Orders placed via our online store using the Purchase Order (PO) option do not constitute a final sale.
Confirmation: Upon receipt of your request, we will issue a formal quote. A binding contract is only formed once you have confirmed the quote and we have accepted the order for dispatch.
Payment: Payment terms will be specified on your formal invoice.

3. SHIPPING & LOGISTICS

Local Inventory: Most core products are dispatched from our Brisbane warehouse.
International Sourcing: Custom or specialty substrates may ship directly from our global partners.
Liability: While we prioritize rapid dispatch, NanoFort is not liable for delays caused by third-party carriers, customs clearance, or international logistics.

4. CUSTOM & SPECIALTY ORDERS

Non-Cancellable: Orders for custom-dimension wafers, specialized epitaxial layers, custom-printed stationery, or bespoke cleanroom garments are non-refundable and cannot be cancelled once production has commenced.
Specifications: It is the Customer's responsibility to provide accurate technical specifications (e.g., resistivity, orientation, doping) at the time of quoting.

5. RETURNS & DEFECTIVE GOODS

Inspection Period: Claims for damaged, faulty, or incorrect items must be submitted in writing within 7 days of receipt.
Condition: Returned items must be unused, uncontaminated, and in their original cleanroom packaging.
Exclusions: Opened consumables (wipes, swabs, chemicals) or custom-manufactured substrates are ineligible for return unless a manufacturing defect is proven.

6. PRODUCT USE & WARRANTY

Professional Use: All products are sold for professional laboratory, research, or industrial use. NanoFort is not liable for damages resulting from misuse or application outside of the provided technical specifications.
Manufacturer Warranty: Where applicable, manufacturer warranties are passed through to the Customer.

7. LIMITATION OF LIABILITY

NanoFort Group shall not be held liable for any indirect, incidental, or consequential damages, including but not limited to business interruption, research delays, equipment failure, or loss of data resulting from the use of our products.

8. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of Queensland, Australia.
